Freelance Contract Generator
Generate a simple freelance / independent contractor agreement covering scope, payment, deadlines and IP ownership.
What the generated agreement commits you to
You fill in the client, the freelancer, the date, the governing law, the scope, the fee and the deadline. Some terms are fixed in the wording, whatever you type:
| Clause | Fixed wording | Think about |
|---|---|---|
| 2. Payment | Invoices due within 14 days unless otherwise agreed | Change it after copying if you work to other terms |
| 3. Timeline | Your deadline, "subject to timely client feedback" | Say what timely means, e.g. within 3 working days |
| 4. Intellectual Property | Ownership of final deliverables passes on full payment. The freelancer may show the work in a portfolio | Drafts, source files, and any client who needs confidentiality |
| 5. Independent Contractor | The freelancer handles their own taxes and equipment | |
| 6. Termination | Either side may end it with written notice. The client pays for work completed to that date | How completed work is measured |
Writing the scope, fee and deadline fields
These three fields carry most of the agreement, and each is a single line of text.
- Scope. List deliverables, quantities and formats rather than an activity. "Logo design" invites argument. "Logo: 3 initial concepts, 2 rounds of revisions on one chosen concept, final files in SVG, PNG and PDF" doesn't.
- Fee. State the amount, the currency, and whether it is fixed or hourly. Put the payment schedule here too: "$4,500 fixed: 40% on signing, 40% on first draft, 20% on final delivery". That is $1,800, $1,800 and $900.
- Deadline. Give a date, and tie it to what you need from the client: "[date], provided the brand questionnaire is returned by [date]".
Read the result once as the client would. If a stranger couldn't tell from the scope line whether a given request is included, it isn't specific enough.
Clauses most projects need on top
- Revisions. How many rounds are included and the rate for more.
- Change requests. New work is quoted and agreed in writing before you start it.
- Late payment. What happens when an invoice goes past due, such as pausing work.
- Cancellation fee. What the client pays if they cancel after you have reserved time.
- Confidentiality. The template has none, and its portfolio right may conflict with a client's need for secrecy.
- Expenses. Whether stock images, fonts or travel are included or billed at cost.
The generated agreement is a template, not legal advice. For large projects, recurring retainers or work across borders, have a qualified lawyer review it.
Sample: milestone-based freelance agreement
A version built around staged payments and revision limits, which the generator's single-fee wording doesn't cover. Replace everything in [BRACKETS].

Frequently asked questions
Who should draft the freelance contract, the client or the freelancer?+
Either can, and whoever drafts it chooses the wording. If the client sends their own contract, read it for the same points: scope, payment dates, ownership, revisions and termination. Ask for changes before you sign rather than after a dispute.
Is an agreement by email enough?+
An email exchange that sets out the scope, fee and deadline, with a clear yes from the client, is far better than nothing. A single signed document is easier to rely on later, because all the terms are in one place and both parties have clearly accepted the same version.
What can I do if the client doesn't pay?+
Under this template, ownership of the deliverables doesn't pass until full payment, so you can hold back final files. Send a written reminder that quotes the invoice and the contract, keep records of delivery, and check the small-claims process where the client is based if it comes to that.
Does calling myself an independent contractor settle my employment status?+
Not on its own. Authorities usually look at how the work is actually done, such as who controls the hours and tools and whether you work for other clients, not only at the label in the contract. If you work for one client full-time, get advice locally.
